1. Acceptance of Terms
By accessing or using the ARCY AI platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the platform.
ARCY AI is a product operated by Campus Arc, Inc., a Delaware corporation ("Campus Arc," "we," "us," or "the Company"). These terms constitute a legally binding agreement between you and the Company. Your continued use of the platform following any updates to these terms constitutes your acceptance of the revised terms. Material updates will be communicated through the dashboard or by email to the account holder.
2. Description of Service
ARCY AI provides an AI-native platform that includes the ARCY AI Software Development Kit (SDK), a management dashboard, and a developer API. The platform enables software companies (Operators) to embed AI-powered product assistance directly into their applications for their end users (End Users).
Operators integrate the ARCY AI SDK into their products and are responsible for deploying that experience to their End Users. End Users interact with ARCY AI capabilities through the Operator's product. ARCY AI is not a direct provider of services to End Users and has no direct contractual relationship with them.
Separately from the End User-facing widget, the ARCY AI dashboard analyzes behavioral and usage signals collected across an Operator's product to generate product intelligence for the Operator directly, including activation and churn insights, revenue-at-risk and recoverable-revenue estimates, and suggested product or process improvements. This dashboard-side intelligence is a distinct capability of the platform, generated on a plan-tiered schedule, and is provided to Operators for their own internal use.
ARCY AI is currently offered as a BETA product. Features, pricing, and behavior may change materially before general availability, and the platform is provided without the uptime or support commitments of a generally available product.
3. Eligibility
The ARCY AI platform is a business tool intended for use by organizations and their authorized personnel. You must be at least 18 years old and have the authority to bind your organization to these terms to create an account or use the platform. ARCY AI is not directed at, and may not knowingly be used by, individuals under the age of 18 acting in a personal capacity.
4. Account Registration
Access to the ARCY AI platform requires account registration via authentication. You must provide accurate and complete information during registration and keep that information current.
Each organization may maintain one account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify ARCY AI immediately if you suspect unauthorized access.
5. Acceptable Use
You may use the ARCY AI platform and API only for lawful purposes and in accordance with these terms. You agree not to use the platform to generate, transmit, or distribute content that is unlawful, harmful, defamatory, or otherwise objectionable.
You may not use the platform to reverse engineer, decompile, or attempt to extract the underlying models or infrastructure. You may not resell, sublicense, or otherwise transfer access to the platform except as expressly permitted by ARCY AI.
ARCY AI reserves the right to suspend or terminate access for any use that violates these terms or that ARCY AI determines, in its sole discretion, to be harmful to the platform or its users.
6. Operator Responsibilities
Operators are solely responsible for their compliant deployment of the ARCY AI SDK to their End Users. This includes ensuring that their use of the platform complies with applicable laws, regulations, and the rights of their End Users.
ARCY AI is not liable for how Operators deploy the SDK or for the content, actions, or outcomes that result from an Operator's use of the platform. The liability boundary between ARCY AI and Operators is clear: ARCY AI provides the platform, and Operators are accountable for how it is used within their products.
Operators must inform their End Users about the use of ARCY AI within their products and obtain any required consents under applicable law.
7. AI Output and Agent Actions
The ARCY AI platform uses artificial intelligence, including large language models and autonomous agents, to generate answers, guided walkthroughs, and, in Agent mode, to take direct actions within an Operator's product on behalf of an End User (such as navigating pages, clicking elements, and filling forms). AI- generated output and agent actions may be inaccurate, incomplete, or unsuitable for a particular purpose.
The dashboard-side product intelligence described in Section 2, including activation and churn insights, revenue-at-risk estimates, and suggested product or process improvements, is likewise AI-generated from behavioral data and may be inaccurate, incomplete, or based on limited or noisy signal. It is provided for the Operator's informational and decision-support use and is not a guarantee of any outcome, and Operators remain responsible for independently validating any insight before acting on it.
Operators are responsible for configuring Agent mode's autonomy level appropriately for their product and for reviewing AI behavior before relying on it in contexts where errors could cause harm. ARCY AI is not liable for actions taken by the AI within an Operator's product, including actions taken autonomously in Agent mode, nor for business decisions made in reliance on dashboard-side product intelligence, except as required by applicable law.
8. Intellectual Property
ARCY AI owns all rights, title, and interest in and to the platform, including the SDK, dashboard, API, underlying models, and all associated intellectual property. Nothing in these terms transfers ownership of any ARCY AI intellectual property to you.
Operators retain ownership of the data they input into the platform and the prompts they create. You grant ARCY AI a limited license to process that data solely to deliver the service. ARCY AI does not use your data to train models without your explicit consent.
9. Data and Privacy
ARCY AI processes data submitted through the platform to deliver the service. This includes interaction data, usage signals, and account information. Our processing is governed by our Privacy Policy.
For End User data submitted through the ARCY AI SDK embedded in an Operator's product, the Operator is the data controller and ARCY AI acts as a data processor (or sub-processor, where the Operator itself processes data on behalf of its own customers), processing that data solely to provide the service under the Operator's instructions. For an Operator's own account and dashboard data, ARCY AI acts as the data controller.
ARCY AI acknowledges the applicability of the General Data Protection Regulation (GDPR) to customers in the European Economic Area, and of Turkey's Law on the Protection of Personal Data (KVKK) where applicable through our Turkish affiliate. ARCY AI implements reasonable technical and organizational measures to protect your data. However, no system is entirely secure, and ARCY AI cannot guarantee absolute security. See our Security page for more detail.
10. Pricing and Payment
Access to the ARCY AI platform is subject to the pricing published on our website. By subscribing to a paid plan, you agree to pay the applicable fees.
ARCY AI may change its pricing with reasonable advance notice to existing subscribers. Continued use of the platform after a price change constitutes your acceptance of the new pricing.
11. Termination
ARCY AI may suspend or terminate your access to the platform at any time for violation of these terms, non-payment, or conduct that ARCY AI determines to be harmful.
Operators may cancel their subscription at any time. Upon cancellation, access to the platform will continue until the end of the current billing period, after which access will be revoked and data may be deleted in accordance with our data retention policy.
12. Disclaimers and Limitations of Liability
The ARCY AI platform is provided as-is and as-available, without warranties of any kind, either express or implied. ARCY AI does not warrant that the platform will be uninterrupted, error-free, or free of harmful components, and makes no warranty regarding the accuracy of AI-generated output or agent actions.
To the maximum extent permitted by applicable law, ARCY AI's total liability to you for any claims arising out of or relating to these terms or the platform shall not exceed the fees you paid to ARCY AI in the twelve months preceding the claim.
In no event shall ARCY AI be liable for indirect, incidental, special, consequential, or punitive damages, even if ARCY AI has been advised of the possibility of such damages.
13. Governing Law
These terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising under or related to these terms shall be subject to the exclusive jurisdiction of the courts located in the State of Delaware, United States.
