1. Acceptance of Terms

By accessing or using the ARCY AI platform, you agree to be bound by these Terms of Service. If you do not agree to them, you may not access or use the platform.

ARCY AI is a product operated by Campus Arc, Inc., a Delaware corporation (“Campus Arc,” “we,” “us,” or “the Company”). These terms are a legally binding agreement between you and the Company. Continued use after an update constitutes acceptance of the revised terms, and material updates are communicated through the dashboard or by email to the account holder.

2. Description of Service

ARCY AI provides a platform made up of arcy.js, a script an Operator installs on their own pages, and a management dashboard. Together they let a software company (the Operator) put an AI assistant into its own product for its own customers (End Users).

The Operator installs arcy.js and decides how it is deployed. End Users meet ARCY AI through the Operator's product. ARCY AI does not provide services directly to End Users and has no contractual relationship with them.

The dashboard also analyzes behavioral signals across an Operator's End Users to produce insights for that Operator, including where users drop out of a flow and the ARCY Lift comparison. These insights are for the Operator's own internal use.

ARCY AI is currently offered as a BETA product. Features, pricing, and behavior may change materially before general availability, and the platform is provided without the uptime or support commitments of a generally available product.

3. Eligibility

The ARCY AI platform is a business tool for organizations and their authorized personnel. You must be at least 18 years old and have authority to bind your organization to these terms in order to create an account. The platform is not directed at, and may not knowingly be used by, individuals under 18 acting in a personal capacity.

4. Account Registration

Access requires registration and authentication. You must provide accurate and complete information and keep it current.

You are responsible for keeping your credentials confidential and for all activity under your account. Tell us immediately if you suspect unauthorized access.

5. Acceptable Use

You may use the platform only for lawful purposes and in accordance with these terms. You agree not to use it to generate, transmit, or distribute content that is unlawful, harmful, defamatory, or otherwise objectionable.

You may not reverse engineer or decompile the platform, or attempt to extract the underlying models or infrastructure. You may not resell, sublicense, or transfer access except as we expressly permit.

We may suspend or terminate access for any use that violates these terms or that we determine to be harmful to the platform or its users.

6. Operator Responsibilities

Operators are solely responsible for how they deploy arcy.js to their End Users, including compliance with applicable law and with their End Users' rights.

Operators decide what ARCY AI sees. Which identity attributes are sent, which pages the assistant is trained on, which flows exist, and which parts of the product they cover are all Operator choices. ARCY AI is not liable for those choices or for the outcomes that follow from them.

Operators must tell their End Users that ARCY AI is in use within their product and obtain any consents their own law requires.

7. AI Output and Flow Runs

The platform uses artificial intelligence to answer End User questions and to suggest which of the Operator's flows is relevant to what an End User asked. AI-generated output may be inaccurate, incomplete, or unsuitable for a particular purpose.

A flow run carries out steps the Operator authored. When an End User chooses to run a flow, it performs the steps the Operator built, in that End User's own session. ARCY AI does not decide on its own to act inside an Operator's product, and where it detects that a step no longer matches the page it proposes a correction to the Operator rather than acting in a live session.

It follows that an Operator is responsible for the flows it publishes, including what those flows do in its own product and whether they are safe to run on an End User's behalf. ARCY AI is not liable for the effects of a flow an Operator authored and published, except as applicable law requires.

Insights, including drop-off analysis and the ARCY Lift comparison, are generated automatically from behavioral data and may be based on limited or noisy signal. They are decision support, not a guarantee of any outcome, and Operators remain responsible for validating an insight before acting on it.

8. Intellectual Property

ARCY AI owns all rights, title, and interest in the platform, including arcy.js, the dashboard, and all associated intellectual property. Nothing in these terms transfers any of it to you.

Operators retain ownership of the data they put into the platform and the content they create in it, and grant ARCY AI a limited license to process that data solely to deliver the service. We do not use your data to train models.

9. Data and Privacy

Our processing is governed by our Privacy Policy.

For End User data collected through arcy.js, the Operator is the data controller and ARCY AI acts as data processor, or as sub-processor where the Operator itself processes on behalf of its own customers, processing that data solely to provide the service under the Operator's instructions. For an Operator's own account and dashboard data, ARCY AI is the data controller.

We acknowledge the applicability of the GDPR to customers in the European Economic Area, and of Türkiye's Law on the Protection of Personal Data No. 6698 (KVKK) as described in our KVKK disclosure. A Data Processing Agreement is available on request.

We apply reasonable technical and organizational measures to protect your data. No system is entirely secure and we cannot guarantee absolute security. See our Security page.

10. Pricing and Payment

Access is subject to the pricing published on our website. By subscribing to a paid plan you agree to pay the applicable fees. Subscriptions, checkout, and payment are handled through Clerk Billing, which uses Stripe as the underlying payment processor.

We may change pricing with reasonable advance notice to existing subscribers. Continued use after a change constitutes acceptance of the new pricing.

30-day money-back guarantee. ARCY AI does not offer a free trial. If you are not satisfied within 30 days of the start of your first paid billing period, you may request a full refund of that payment through our contact page. The guarantee is available once per organization and applies to the first paid period only. A refund cancels your subscription and returns the workspace to a lapsed state. Credits already consumed are not reversed, and later billing periods are not covered.

11. Termination

We may suspend or terminate access at any time for violation of these terms, non-payment, or conduct we determine to be harmful.

Operators may cancel at any time. Access continues until the end of the current billing period, after which it is revoked and data may be deleted in line with the retention and deletion terms in our Privacy Policy.

12. Disclaimers and Limitations of Liability

The platform is provided as-is and as-available, without warranties of any kind, express or implied. We do not warrant that it will be uninterrupted, error-free, or free of harmful components, and make no warranty as to the accuracy of AI-generated output.

To the maximum extent permitted by applicable law, our total liability for any claim arising out of or relating to these terms or the platform shall not exceed the fees you paid us in the twelve months preceding the claim.

In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages.

13. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Disputes arising under or related to them are subject to the exclusive jurisdiction of the courts located in the State of Delaware.
